| Ethical practices relating to interaction with consultants |

No member may knowingly misrepresent consultant's skills or experience to clients. |

| b. |
Each NACCB firm will obtain the approval of consultant prior to presenting their resume to clients. |
 |
| c. |
Each NACCB firm will actively avoid presenting a consultant who has already been submitted to the client by another firm. |
 |
| d. |
Each NACCB firm will strictly refrain from willful misrepresentation regarding billing rate, approximate length of assignment, or any other subject that is pertinent to the business relationship. |

| e. |
NACCB firms will refrain from soliciting or encouraging consultant to reveal confidential sales leads. |
 |
| f. |
Each NACCB firm may include a reasonable "Freeze Out Clause," not to exceed one year, in its consultant contract. Firms are required to ask a consultant if he/she is subject to a "Freeze Out Clause", when the potential for one exists. |

| g. |
NACCB firms agree to honor all aspects of their contracts with their consultant. In particular, NACCB firms shall honor their contractual obligations to pay consultant for their services. |
