| Ethical practices relating to interaction with other consultant brokerage firms |

NACCB firms will actively promote free and fair competition among brokerage firms. |

| b. |
NACCB firms will not engage in any unlawful restraint of trade, unfair method of competition. or other violation of the federal and state antitrust laws. |

Each NACCB firm shall avoid inducing consultants to violate freeze out clauses in contracts as that term is defined in Article XIV, Section 1. In order to achieve this goal, each NACCB firm should ask each consultant whether he or she is subject to a freeze out clause at the time he or she is approached for an assignment. |

| d. |
Each NACCB firm shall avoid inducing current employees of other NACCB of Northern California member firms to breach any employment contract with their current employer. |
